Will the Proposed Changes to the HSR Act Impact Your Deal?

On June 27, 2023, the Federal Trade Commission (FTC), with the concurrence of the Assistant Attorney General of the Antitrust Division of the U.S. Department of Justice (DOJ), published proposed modifications to the Hart-Scott-Rodino (HSR) premerger notification rules that would substantially change the information and materials required as part of HSR filings. The proposed changes have been subject to a public comment period, and the agencies will now consider those public comments and decide whether and in what form to promulgate a final rule. If implemented as proposed, the changes would have a significant impact on the time and burden associated with HSR filings for a range of transactions.
