Department of Justice Challenges United’s Acquisition of Change

On February 24, 2022, the Antitrust Division of the U.S. Department of Justice (DOJ) filed a complaint to enjoin UnitedHealth Group’s (United) acquisition of Change Healthcare (Change) in the U.S. District Court for the District of Columbia. The DOJ’s challenge to this transaction presents important issues related to vertical theories of harm and the adequacy of remedies.
