Health information technology (HIT) lies directly at the crossroads between health care transactional and regulatory law. Whether the matter involves a simple software licensure agreement or a complex health information exchange, lawyers engaging in this area must be adept contract drafters and negotiators, while still understanding the intricate regulatory landscape. Privacy and security laws, meaningful use objectives, and fraud and abuse considerations are just a few of the issues that need to be managed. Risks must be mitigated via limitation of liability, insurance, and indemnification provisions. Intellectual property rights must be carefully managed.

The HIT Contracting Toolkit provides many useful resources, including sample agreements and checklists, government guidance, and other publicly available resources, to help HIT attorneys successfully navigate these issues.
